These Terms and Conditions (“Agreement”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Client” or “Restaurant”), and Camilo Garzon, operating as a sole proprietorship (“Provider”, “we”, “us”, or “our”), concerning your access to and use of our order capture and Point of Sale (POS) integration system (the “Service”).

By accessing or using the Service, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions.

1. Description of Service

The Service is a Business-to-Business (B2B) software platform designed to capture customer orders and automatically submit those orders directly to the Restaurant’s existing Point of Sale (POS) system.

  • Supported Integrations: The Service currently integrates exclusively with Square and Clover POS systems.
  • The Service acts solely as an intermediary data and order routing system between the end-customer and the Restaurant’s integrated POS application.

2. Term and Termination

  • Term: This Agreement operates on a month-to-month basis, requiring a minimum commitment of one (1) month from the initial date of activation. There are no annual contract requirements.
  • Termination: Either party may terminate this Agreement by providing written notice to the other party prior to the start of the next billing cycle.

3. Financial Transactions & Fees

  • Fee Structure: The Client agrees to pay a per-order fee for every transaction processed through the Service. The specific rate of this per-order fee is governed by the individual contract or pricing agreement established between the Provider and the Restaurant.
  • Payment Flow: The Service routes order data to the Restaurant’s POS. The actual processing of payments and settlement of funds is handled entirely by the Restaurant’s POS application (Square or Clover).
  • Refunds and Chargebacks: The Provider is not the merchant of record and does not hold consumer funds. Any refunds, disputes, or chargebacks initiated by the end-customer are strictly governed by the conditions of the POS system used by the Restaurant and are the sole responsibility of the Restaurant.

4. Data Security and Privacy

  • Data Ownership and Responsibility: The Provider acts as the responsible party for the order data captured through the Service platform. We are committed to maintaining the security of this data while it is in transit.
  • Compliance: The Service utilizes the existing security and compliance infrastructure of the integrated POS systems (Square and Clover). No independent or additional payment gateways are involved in the transaction flow, and the Provider relies on the POS partners for PCI-DSS compliance concerning payment data.

5. Service Availability (SLA)

  • “As-Is” Service: The Service is provided on an “AS-IS” and “AS-AVAILABLE” basis. The Provider makes no warranties, either express or implied, regarding the continuous uptime, reliability, or uninterrupted availability of the Service.

6. Limitation of Liability

In the event of a system outage, API failure, missed order, or any other disruption of the Service, the Provider’s liability is strictly capped.

  • Maximum Liability Cap: Under no circumstances shall the Provider’s total aggregate liability to the Restaurant exceed the monetary equivalent of the Provider’s fees for thirty (30) average orders, plus the specific per-order fee associated with the individual order affected at the time of the incident.
  • The Provider shall not be liable for lost profits, lost revenue, or any indirect, consequential, or incidental damages arising from the use or inability to use the Service.

7. Governing Law

This Agreement and your use of the Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
